About these terms

These website terms of use (the "Terms") govern your access to and use of vayraplatform.com and any pages, forms, and content published on it (the "Site"). The Site is operated by Vayra Health & Wellness, Inc., which provides management services ("Vayra," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

The Site and the platform services are separate

The Site is a business information website. It describes Vayra Platform and Vayra White Label, which are offered to businesses. These Terms apply only to the Site.

Access to and use of the Vayra Platform, Vayra White Label, Vayra Intelligence, and any related services (the "Platform Services") are governed solely by a separate written agreement signed by Vayra and the customer. Nothing on the Site creates any right to use the Platform Services. If these Terms conflict with a signed agreement for the Platform Services, the signed agreement controls for the Platform Services.

Business audience only

The Site is intended for business users, such as clinics, health and wellness companies, employers, and other organizations evaluating the Platform Services. The Site is not intended for patients or consumers seeking care, and it is not directed to children.

No medical advice

Clinical services offered through the Platform Services are provided by independent licensed clinicians, including through Vayra Medical, P.C., a separate professional corporation. Vayra Health & Wellness, Inc. does not practice medicine and does not provide clinical services.

Nothing on the Site is medical advice, diagnosis, or treatment, and no part of the Site creates a clinician and patient relationship. Content describing clinical programs, medications, or Vayra Intelligence is general information about the Platform Services. Vayra Intelligence is a software module that supports clinicians and patients within the Platform Services. It does not diagnose, prescribe, or replace a clinician.

No offer

Content on the Site, including descriptions of features, service lines, pricing, integrations, and availability, is provided for general information. It is not an offer to sell, a binding quotation, or a commitment to provide any product or service. Features and availability may vary by state, by partner, and over time. Any commitment by Vayra exists only in a written agreement signed by Vayra.

Do not submit patient information

Do not submit protected health information or any other patient information through the Site, including through the demo request or contact forms. The Site is not designed to receive patient information. If patient information is submitted, we will delete it as described in our privacy policy.

Intellectual property

The Site and its content, including text, graphics, logos, product names, designs, and software, are owned by Vayra or its licensors and are protected by intellectual property laws. Vayra, Vayra Platform, Vayra White Label, Vayra Intelligence, and related names and logos are trademarks of Vayra or its affiliates.

Subject to these Terms, you may view and print pages of the Site for your internal business evaluation of the Platform Services. You may not copy, modify, distribute, sell, or create derivative works from the Site or its content except as these Terms permit or with our prior written consent.

If you send us feedback or suggestions about the Site or the Platform Services, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use that feedback for any purpose without obligation to you.

Acceptable conduct

When using the Site, you agree not to:

  • use the Site in violation of any applicable law or regulation;
  • submit false, misleading, or fraudulent information, or impersonate any person or organization;
  • submit patient information, protected health information, or other sensitive personal information about any individual;
  • attempt to gain unauthorized access to the Site, its servers, or any connected system, or probe, scan, or test the vulnerability of the Site without our written authorization;
  • interfere with or disrupt the Site, including by introducing malicious code or sending automated or excessive requests;
  • scrape, crawl, or harvest content or data from the Site by automated means, except for search engine indexing that follows our published robots instructions;
  • use the Site to send unsolicited commercial messages; or
  • use the Site to build or benchmark a competing product or service.

Third-party links

The Site may contain links to websites or resources operated by third parties. We provide these links for convenience only. We do not control and are not responsible for third-party websites, their content, or their privacy practices. Your use of a third-party website is at your own risk and subject to that website's terms.

Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, VAYRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VAYRA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

Statements on the Site about security, compliance, or regulatory matters describe our practices in general terms. They are not legal advice, and they are not a warranty or certification. Each business is responsible for its own legal and regulatory obligations.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VAYRA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, VAYRA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you. This section does not limit liability under any signed agreement for the Platform Services, which has its own terms.

Indemnification

You agree to indemnify and hold harmless Vayra and its affiliates, officers, directors, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.

Changes to the Site and these Terms

We may change, suspend, or discontinue any part of the Site at any time. We may update these Terms from time to time. When we do, we will revise the "updated" date shown on this page. Changes take effect when posted unless we state otherwise. Your continued use of the Site after changes are posted means you accept the updated Terms.

Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in the State of Texas, and you and Vayra consent to the personal jurisdiction of those courts. Each party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent. These Terms, together with our privacy policy, are the entire agreement between you and Vayra about the Site.
